These Terms and Conditions (“Agreement”) govern the relationship between Drafting Room Design (FZE) (hereinafter referred to as “the Company”) and the Client (hereinafter referred to as “the Client”) for the provision of photographic activities, specialized design, and marketing management services.
1. Scope of Services
The Company agrees to provide services as defined in the specific Project Quotation or Service Level Agreement (SLA). Any amendments to the scope must be agreed upon in writing by both parties.
2. Payment Terms
- Deposit: A non-refundable deposit of 50% of the total project value is required to initiate work.
- Balance: The remaining 50% is due upon completion of the project and prior to the release of final high-resolution or source files.
- Late Fees: Payments delayed beyond 15 days from the invoice date will incur a late fee of 5% per month.
- Methods: Payments are accepted via Bank Transfer, Corporate Cheque, or authorized Online Payment Gateways.
3. Intellectual Property & Usage Rights
- Ownership: Upon full and final payment, the Client is granted the rights to use the final deliverables for their intended commercial purpose.
- Source Files: Unless explicitly stated in the contract, the Company retains ownership of raw photographic files (RAW) and layered design source files.
- Portfolio Rights: The Company reserves the right to display the completed work in its professional portfolio and marketing materials unless a specific Non-Disclosure Agreement (NDA) is in place.
4. Delivery and Performance
- Digital Delivery: Assets will be delivered via secure cloud-based links. The Client is responsible for downloading and archiving these assets within 14 days of delivery.
- Timelines: While the Company strives to meet all deadlines, timelines are estimates and are subject to the Client providing necessary feedback and materials in a timely manner.
5. Revisions and Satisfaction
- Revision Limit: Projects include two (2) rounds of minor revisions unless otherwise specified.
- Out-of-Scope: Requests exceeding the initial brief or the included revision rounds will be billed at the Company’s standard hourly rate.
- Acceptance: Failure to provide feedback within 7 business days of a draft delivery will be deemed as formal acceptance of the work.
6. Cancellation and Refunds
- Client Termination: If the Client terminates the project after work has commenced, the initial deposit is forfeited. The Client shall also be liable for any work completed beyond the deposit value.
- Company Termination: The Company reserves the right to terminate the agreement for unethical conduct or non-payment, providing the Client with notice.
7. Warranties and Liability
- Originality: The Company warrants that all designs are original and do not knowingly infringe on third-party intellectual property.
- Limitation of Liability: To the maximum extent permitted by UAE law, the Company’s liability for any claim shall not exceed the total amount paid by the Client for the specific service in question.
8. Privacy and Data Protection
The Company shall treat all Client information as confidential. Personal and corporate data collected during the project will be used solely for service fulfillment and will not be shared with third parties without consent, in compliance with UAE Data Protection regulations.
9. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the Dubai International Financial Centre (DIFC) or the applicable courts of the Emirate of Dubai, United Arab Emirates.
10. Acknowledgment
By making a deposit payment or issuing a Purchase Order (PO) to Drafting Room Design (FZE), the Client acknowledges that they have read, understood, and agreed to be bound by these Terms and Conditions.
